Terms and Conditions of Participation & Privacy Policy

By registering for, accessing, or participating in the Leading Care Community™ (“Community”), you (“Member,” “Participant,” or “You”) agree to these Terms and Conditions (“Terms”), which constitute a binding legal agreement between you and Renaye James Healthcare Advisors, LLC (“RJHA,” “We,” “Our,” “Us”). Please read carefully before joining or using any Community services, resources, or platforms.

1. Purpose of the Community

The Community is an educational and professional development program and platform that provides training, mentoring, peer learning opportunities, and access to online resources and tools. The Community is designed to support healthcare leaders and aspiring leaders in their professional journey.

2. No Medical or Legal Advice

  • Neither the Community nor RJHA provides medical advice, diagnosis, or treatment.

  • All Information provided through the Community, including through trainings, coaching, resources, or peer discussions is for general educational and informational purposes only.

  • The Community is not a healthcare, legal, or regulatory service of any kind, and participation in the Community does not create a professional-client relationship with RJHA. Nothing in the Community should be construed as medical, legal, financial, or regulatory advice specific to your organization or practice.

  • You are solely responsible for seeking and obtaining independent professional advice as appropriate.

3. No Guarantee of Results

  • We do not guarantee specific outcomes, promotions, certifications, or financial results your participation in the Community.

  • Your results will vary based on your individual circumstances, professional context, and the effort you apply to the materials and guidance provided.

4. Eligibility

  • Participation is intended for healthcare professionals and leaders.

  • You must be at least 18 years old to join.

  • By registering, you affirm that the information you provide is accurate and that you will comply with these Terms.

5. Membership Access

  • Membership tiers (Core, Premium, Executive) provide varying levels of access to content, advising, and resources, as described at the time of your enrollment.

  • Access is personal and non-transferable. You may not share your login credentials or distribute Community resources to non-members without express written permission of RJHA.

  • You must register an account to access the Community. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to promptly notify us of any unauthorized access or suspected breach of security.

6. Intellectual Property

  • All Community content, including trainings, recordings, workbooks, checklists, templates, slides, curriculum, and other resources (collectively, “RJHA Content”), are the intellectual property of RJHA or its licensors and protected by intellectual property laws.

  • Subject to your compliance with these Terms and timely payment of fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and use RJHA Content solely for your own professional development during your active membership in the Community. Upon termination or cancellation of your participation in the Community, your license to use RJHA Content ends.

  • You may not copy, reproduce, record, distribute, publicly display, perform, modify, create derivative works from, or sell any RJHA Content without our prior express written permission. All rights not expressly granted are reserved by RJHA in the RJHA Content.

7. Member Submissions; Feedback; Likeness Release

You may submit comments, questions, assignments, chat messages, posts, or other content to the Community (“Member Content”). You retain ownership of your Member Content. You grant RJHA a worldwide, non-exclusive, royalty-free license to host, reproduce, display, perform, and use your Member Content solely for operating and improving the Community and for administering mentorship, webinars, and discussions as part of the Community. You also grant RJHA a perpetual, worldwide, transferable, sub-licensable, royalty-free license to use any feedback or suggestions you provide without restriction.

By participating in live or recorded Community sessions (including webinars, mentorship, group calls, and events), you acknowledge and consent that such sessions may be recorded, and you grant RJHA the right to record and use your voice, name, image, and likeness as part of those recordings for member access and quality assurance. We will not use your likeness for public marketing without your separate consent.

You are solely responsible for your Member Content and represent that you have all necessary rights to grant the foregoing licenses and that your Member Content does not violate these Terms or any law.

8. Community Conduct; Acceptable Use

You agree to behave with professionalism, respect, and courtesy, and to maintain the confidentiality of peer discussions in the Community. Harassment, discrimination, threats, doxing, obscene or illegal content, and disruptive behavior are prohibited. You may not:

  • Use the Community in violation of applicable laws and regulations.

  • Share, sell, transfer, or otherwise permit non-members to access RJHA Content or your account.

  • Upload or transmit malware, spam, or content that infringes intellectual property or privacy rights.

  • Scrape, harvest, or attempt to collect information about other members without consent.

We may moderate, remove, or restrict Member Content and participation at our discretion. We reserve the right to suspend or terminate any membership for violation of these Terms or to protect the safety of the Community , without refund.

9. Confidentiality in Peer Discussions

Membership fees are due as described on the registration page. You authorize RJHA and its payment processor to charge your selected payment method for any membership fees and applicable taxes. You are responsible for all taxes, duties, and government charges, other than taxes on RJHA’s income.

Membership fees are refundable only if cancellation occurs within the first thirty (30) days of membership. After this period, fees are non-refundable.

Access is for the individual registrant only. Sharing, transferring, or reselling access is prohibited.

Failure to make payments may result in suspension or termination of access.

10. Payment and Refunds

To the fullest extent permitted by law, Renaye James Healthcare Advisors, LLC® and the Leading Care Community™ program and its officers, employees, contractors, and affiliates disclaim any liability for damages (direct, indirect, incidental, or consequential) arising from your participation in the Community.

Your use of Community resources is at your sole risk.

11. Third-Party Services and Links

The Community may reference or provide access to third-party services, vendors, or expert advisors. RJHA does not control and is not responsible for third-party content, products, or services, and does not endorse them. Your use of third-party services is subject to those third parties’ terms and privacy practices.

12. Limitation of Liability

  • The Community and RJHA Content are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. RJHA does not warrant that the Community will meet your requirements, achieve intended results, or be uninterrupted, secure, or error-free.

  • Your use of the Community and the RJHA Content is at your sole risk.

  • To the fullest extent permitted by law, RJHA and the and its officers, employees, contractors, and affiliates disclaim any liability for damages (direct, indirect, incidental, or consequential) arising from your participation in the Community. To the extent liability cannot be excluded, RJHA’s total cumulative liability arising out of or related to the Community or these Terms will not exceed the amount you paid to RJHA for your membership during the twelve (12) months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations; in such cases, the foregoing limitations apply to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless RJHA and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, costs, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your participation in the Community, your violation of these Terms, your Member Content, or your misuse of the Community or the RJHA Content.

14. Modifications

We reserve the right to update, change, or replace these Terms at any time. Notice of changes will be posted on the Community platform. Continued participation constitutes acceptance of the updated Terms.

15. Privacy and Data Use

  • Collection of Information: By joining the Community, you consent to the collection of basic personal information that you provide during registration and participation in the Community, such as your name, email, phone number, payment details, and activity within the Community (e.g., event registrations, course progress, survey responses). Technical information (e.g., IP address, cookies, device identifiers) may also be collected.

  • Use of Information: We use this information to provide access to Community resources, process payments, deliver updates and reminders (including via text messages), improve our services, authenticate users, personalize content, communicate about sessions, updates, surveys, and administrative matters, provide support, ensure safety and compliance; and meet legal obligations.

  • Text Messaging: By joining the Community and providing your telephone number, you may receive informational and reminder text messages related to your membership, trainings, or events. Message frequency may vary. Standard message and data rates from your mobile carrier apply. You may opt out of text messaging at any time by following the instructions in the message or contacting us at [email protected].

  • Sharing of Information: We do not sell your personal information. We may share personal information with trusted service providers (e.g., payment processors, email/text platforms, hosting providers, analytics) who process data on our behalf to support Community operations or as required by law.

  • Data Security: We implement reasonable safeguards to protect your information. However, no system is 100% secure, and we cannot guarantee absolute protection.

  • Retention and Rights: We retain your personal information for as long as necessary to provide Community services or meet legal obligations. You may request access to, correct, or delete your information by contacting us.

    Your use of the Community and the RJHA Content is at your sole risk.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles. Any claim must be exclusively brought in the state or federal courts located in Maryland, and you consent to their jurisdiction and venue.

18. General

These Terms constitute the entire agreement between you and RJHA regarding the Community and supersede all prior or contemporaneous understandings on the same subject. If any provision is held invalid, the remaining provisions will remain in full force. No waiver is effective unless in writing and signed by RJHA. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. No agency, partnership, fiduciary relationship, or joint venture is created by these Terms.

By registering for or accessing the Community, you acknowledge that you have read, understand, and agree to be bound by these Terms.
